Terms of Service

These Terms of Service ("Terms") govern your use of Docilis, a service provided by Elucent Pty Ltd ("Elucent", "we", "us", or "our"), accessible at docilis.app and docilis.ai.

By creating an account or using Docilis, you agree to these Terms. If you do not agree, do not use the service.

1. Description of Service

Docilis is an AI-powered content creation and publishing platform that helps knowledge-work professionals — including researchers, academics, consultants, executives, and policy professionals — draft, schedule, and publish thought leadership content to LinkedIn and other social platforms. Key features include:

  • AI-generated post drafts drawn from news sources, academic publications, RSS feeds, and your voice profile
  • Content scheduling and calendar management
  • Multi-platform publishing (LinkedIn, Bluesky, Threads)
  • Analytics and performance tracking

We reserve the right to modify, add, or remove features at any time. See Section 12 for details.

2. Account Requirements

To use Docilis, you must:

  • Be at least 18 years old
  • Provide accurate registration information
  • Maintain the security of your account credentials
  • Have a valid LinkedIn account and comply with LinkedIn's User Agreement
  • Comply with the terms of any other social platform you connect to Docilis

You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

3. Free Trial, Subscriptions, and Billing

Docilis offers a 14-day free trial with full access to your chosen plan. A valid payment method is required at sign-up. You will not be charged until the trial ends on day 15. We will send you a reminder email 3 days before your trial expires. If you cancel before the trial period ends, you will not be charged.

Auto-renewal: After the trial period, your subscription will automatically renew at the end of each billing cycle (monthly or annually) at the then-current rate until you cancel. Your payment method will be charged on the renewal date. By starting a subscription, you authorise Elucent to charge your payment method on a recurring basis.

Cancellation: You may cancel at any time from Settings → Subscription. Cancellation takes effect at the end of the current billing period; you retain full access until that date. We do not offer prorated refunds for unused portions of a subscription period, except where required by applicable law (see Section 3a below).

Price changes: We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect. Continued use after the notice period constitutes acceptance of the new pricing.

3a. Australian Consumer Law

If you are a consumer in Australia, you have rights under the Australian Consumer Law (Competition and Consumer Act 2010) that these Terms cannot exclude. Nothing in these Terms limits any guarantee, warranty, or right you have under the ACL. Where the ACL applies and a service fails to meet a consumer guarantee, you may be entitled to a remedy including a refund.

4. Acceptable Use

You agree to use Docilis only for lawful purposes. You must not use the service to:

  • Publish content that is defamatory, discriminatory, harassing, or incites hatred or violence
  • Publish content that infringes any third party's intellectual property rights
  • Publish content that is false, misleading, or fraudulent
  • Violate LinkedIn's or any other platform's terms of service, community standards, or developer policies
  • Attempt to gain unauthorised access to other users' accounts or our systems
  • Use automated scraping, crawling, or data extraction beyond normal use of the service
  • Resell or sublicence access to Docilis without our written permission

We reserve the right to suspend or terminate accounts that violate these rules without refund.

5. AI-Generated Content

Important: All AI-generated content is provided as a suggestion only. You are solely responsible for reviewing, editing, fact-checking, and approving all content before it is published under your name.

Docilis uses third-party AI models (Claude by Anthropic) to generate draft content. By using the service, you acknowledge:

  • No accuracy guarantee: AI-generated content may contain errors, outdated information, hallucinations, or inaccuracies. We do not warrant that any AI-generated content is accurate, complete, current, or suitable for publication.
  • Your responsibility: You are solely responsible for all content published through your account, whether AI-generated or manually written. You agree to review every draft before publishing.
  • Fitness and legality: We make no warranty that AI-generated content is fit for any particular purpose, compliant with any applicable professional, regulatory, or legal standards, or free from potential liability. You are responsible for ensuring that what you publish meets any professional, ethical, or legal obligations applicable to you.
  • No originality guarantee: AI-generated content may resemble content produced for other users or content that exists elsewhere. We do not guarantee that AI output is original or free from similarity to other works.
  • Professional advice: Nothing generated by Docilis constitutes legal, financial, medical, or professional advice of any kind.

6. AI-Generated Images

Images generated through Docilis are created by third-party AI image models (fal.ai). You acknowledge:

  • We do not guarantee that generated images are free from copyright claims
  • Social platforms including LinkedIn may remove AI-generated images at their discretion
  • You are responsible for ensuring any image you publish complies with applicable law and platform policies

7. Third-Party Platform Compliance

Docilis connects to third-party platforms including LinkedIn, Bluesky, and Threads on your behalf. By connecting any platform account, you authorise us to publish content, read profile data, and retrieve analytics as permitted by that platform's API.

You agree that your use of each platform through Docilis remains subject to that platform's own terms of service and developer policies:

  • LinkedIn User Agreement
  • Bluesky Terms of Service
  • Threads Terms of Use
Platform account actions: Docilis is not responsible for any decision by LinkedIn, Bluesky, Threads, or any other platform to remove content, restrict features, suspend, or permanently ban your account — whether or not that decision relates to your use of Docilis. Compliance with each platform's policies is your responsibility. We are not liable for any loss of access, followers, data, or business opportunity resulting from a platform-imposed action.

We will not use your platform data beyond what is necessary to operate the service. See our Privacy Policy for full details including data retention periods.

7a. LinkedIn API Compliance

Docilis holds LinkedIn API access under LinkedIn's developer programme terms. By connecting your LinkedIn account, you acknowledge that LinkedIn may revoke or restrict API access at any time and that such action may limit or prevent Docilis from publishing to LinkedIn on your behalf. Elucent is not liable for any resulting disruption to your use of the service.

8. Intellectual Property

8.1 Your Content

You retain ownership of all content you create, upload, or publish through Docilis — including your voice profile, writing samples, expert profile, and any posts you publish. You grant Elucent a limited, non-exclusive licence to store and process your content solely for the purpose of operating the service.

8.2 Our Platform

Docilis, including its software, design, and documentation, is owned by Elucent Pty Ltd and protected by copyright law. You may not copy, modify, distribute, or create derivative works from any part of the platform without our written permission.

8.3 Feedback and Suggestions

If you submit feedback, ideas, feature requests, or suggestions about Docilis ("Feedback"), you assign to Elucent all rights in that Feedback. Elucent may use Feedback for any purpose without restriction or compensation to you. You represent that you have the right to grant this assignment and that the Feedback does not infringe any third party's rights.

9. Copyright and DMCA

We respect intellectual property rights and expect users to do the same. If you believe that content on Docilis or published through Docilis infringes your copyright, please send a written notice containing:

  • A description of the copyrighted work you claim has been infringed
  • A description of the infringing material and its location on Docilis or the relevant platform
  • Your contact information (name, address, telephone number, email)
  • A statement that you have a good faith belief that the use is not authorised by the copyright owner
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorised to act on the copyright owner's behalf
  • Your electronic or physical signature

We will investigate notices and take appropriate action, which may include removing the relevant content. Repeat infringers may have their accounts terminated.

10. Indemnification

You agree to indemnify and hold harmless Elucent Pty Ltd, its directors, employees, and agents from any claims, damages, losses, or liabilities (including legal fees) arising from:

  • Content you publish through Docilis
  • Your violation of these Terms
  • Your violation of any third party's rights
  • Your violation of LinkedIn's or any other platform's terms of service

11. Disclaimers and Limitation of Liability

Docilis is provided "as is" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or meet your specific requirements.

Liability cap: To the maximum extent permitted by applicable law, Elucent's total liability for any claims arising from your use of Docilis is limited to the greater of: (a) the total fees you paid to Elucent in the 12 months immediately preceding the claim, or (b) AUD $100. We are not liable for indirect, incidental, consequential, special, or punitive damages of any kind, including but not limited to loss of profits, loss of data, loss of business opportunity, or reputational harm.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

12. Service Modifications and Availability

We reserve the right to modify, suspend, or discontinue any part of the Docilis service at any time — including individual features — with or without notice, where changes are required due to:

  • Changes to third-party platform APIs (LinkedIn, Bluesky, Threads, or others) that affect how Docilis operates
  • Changes to third-party AI providers (Anthropic, fal.ai, or others)
  • Legal, regulatory, or security requirements
  • Technical necessity

In the event of full service discontinuation, we will provide at least 30 days' notice by email and make a full export of your data available. We are not liable for any modification, suspension, or discontinuation of the service, including any impact on your content, reach, or business.

13. Termination

You may terminate your account at any time from Settings → Account → Delete Account. We will delete your data in accordance with our Privacy Policy.

We may suspend or terminate your account if you violate these Terms, if required by law, or if we discontinue the service. In the event of termination for cause, no refund will be issued for any remaining subscription period.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Victoria, Australia. Before initiating any formal legal proceedings, you agree to contact us at [email protected] and give us 30 days to attempt to resolve the dispute informally.

If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia. If you are a consumer in the European Union, United Kingdom, or another jurisdiction with mandatory local consumer protection laws, you may also have rights under those laws that these Terms cannot override.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email and by updating the "Last updated" date above with at least 14 days' notice before the change takes effect. Continued use of Docilis after a change constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the service and cancel your subscription before the change takes effect.
